Welcome to Cofoundesy. These Terms of Service ("Terms") govern your access to and use of the Cofoundesy platform, services, and website. Please read these Terms carefully before using our services.
By accessing or using Cofoundesy, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.

1. Definitions
Throughout these Terms, we use certain defined terms:
"Cofoundesy," "we," "us," and "our"
Refers to Cofoundesy, Inc., the company that operates the platform.
"Platform"
The Cofoundesy website, applications, services, tools, and features.
"User," "you," and "your"
Any individual or entity that accesses or uses our Platform.
"Content"
Text, graphics, images, music, software, audio, video, information, or other materials.
"User Content"
Content that users submit, post, or transmit to, through, or in connection with the Platform.
2. Account Registration and Eligibility
Eligibility
To use Cofoundesy, you must be at least 18 years old and have the legal capacity to enter into binding contracts. By creating an account, you represent and warrant that you meet these eligibility requirements.
Account Creation
When you create an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
One Person, One Account
You may create and maintain only one account. Multiple accounts owned by the same individual or entity may be terminated without notice.
Account Security
You are responsible for safeguarding your password and for any activities or actions under your account. You agree to:
- Create a strong, unique password
- Keep your account information secure
- Notify us immediately of any unauthorized use or security breach
- Ensure you log out from your account at the end of each session
Identity Verification
We may, at our discretion, require additional information to verify your identity. This may include professional credentials, background information, or government-issued identification. Failure to provide requested information may result in limited access to certain features or termination of your account.
3. Platform Usage and Rules
Acceptable Use
When using Cofoundesy, you agree to:
- Comply with all applicable laws and regulations
- Respect the rights and dignity of others
- Use the Platform for its intended purpose of connecting with potential co-founders
- Provide accurate information about your skills, experience, and intentions
- Communicate professionally and respectfully with other users
Prohibited Activities
You may not engage in any of the following prohibited activities:
Impersonation and Misrepresentation
Impersonating another person or entity, or misrepresenting your affiliation with any person or entity.
Fraud and Deception
Engaging in any fraudulent, deceptive, or misleading activities, including false advertising.
Harassment and Abuse
Harassing, intimidating, or abusing other users, or engaging in harmful behavior.
Intellectual Property Infringement
Violating the intellectual property rights of others, including copyright and trademark infringement.
Data Mining and Scraping
Using automated methods to access, scrape, or extract data from our Platform without our express permission.
Security Violations
Attempting to breach or bypass any security measures or interfere with the proper working of the Platform.
Spam and Solicitation
Sending unsolicited messages, advertisements, or promotions unrelated to co-founder matching.
Illegal Activities
Using the Platform to promote, organize, or engage in any illegal activities.
Reporting Violations
If you encounter content or behavior that violates these Terms, please report it to us by using the reporting features within the Platform or by contacting us at support@cofoundesy.com.
4. User Content
Content Ownership
You retain all ownership rights to the User Content you submit to Cofoundesy. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of providing and promoting our services.
Content Responsibility
You are solely responsible for all User Content that you submit, post, or display on or through our Platform. You represent and warrant that:
- You own or have the necessary rights to the User Content you provide
- Your User Content is accurate and not misleading
- Your User Content does not violate these Terms, applicable laws, or the rights of any third party
- Your User Content does not contain malicious code, viruses, or other harmful components
Content Monitoring
We do not actively monitor User Content, but we reserve the right to review, remove, or modify any User Content that violates these Terms or that we find objectionable, at our sole discretion and without notice.
Feedback
If you provide suggestions, ideas, or feedback about our Platform ("Feedback"), you grant us the right to use that Feedback without restriction or compensation to you. You understand and agree that we are not obligated to use any Feedback you provide.
5. Intellectual Property Rights
Cofoundesy Intellectual Property
The Platform, including its original content (excluding User Content), features, functionality, design elements, and the underlying technology, is owned by Cofoundesy and is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Limited License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for its intended purposes. This license does not include:
- The right to modify, adapt, or create derivative works
- The right to use data mining, robots, or similar data gathering tools
- The right to reproduce, duplicate, copy, sell, or exploit any portion of the Platform
- The right to access the Platform to build a competitive product or service
Trademarks
The Cofoundesy name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Cofoundesy or its affiliates. You may not use these marks without our prior written permission.
6. Payment Terms and Subscriptions
Subscription Plans
Cofoundesy offers both free and paid subscription plans. Features and benefits of each plan are described on our website. We reserve the right to modify, terminate, or otherwise amend our offered subscription plans.
Billing and Payments
By subscribing to a paid plan, you agree to pay the subscription fees indicated for your selected plan. All payments are processed securely through our third-party payment processors. You authorize us to charge the applicable fees to your designated payment method.
Subscription Renewal
Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew, and you authorize us to charge your payment method for the renewal term.
Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation, your subscription will continue until the end of the current billing period. We do not provide refunds for partial subscription periods unless required by law.
Price Changes
We may change our subscription fees at any time. If we change the fees for your subscription, we will provide notice of the change on our website or by email, at least 30 days before the change takes effect. Your continued use of the Platform after the fee change becomes effective constitutes your agreement to pay the updated fee.
Taxes
All fees are exclusive of taxes, unless otherwise stated. You are responsible for paying all applicable taxes associated with your use of our Platform, including sales tax, value-added tax, or other taxes imposed by relevant tax authorities.
7. Termination and Suspension
Termination by You
You may terminate your account at any time by following the instructions in your account settings or by contacting us at support@cofoundesy.com. Upon termination, your profile will no longer be visible to other users, but some of your information may remain in our systems as required by law or for legitimate business purposes.
Termination by Cofoundesy
We reserve the right to suspend or terminate your account and access to the Platform at any time, for any reason, and without prior notice or liability. Grounds for termination may include, but are not limited to:
- Violation of these Terms or other policies
- Engaging in prohibited activities
- Providing false or misleading information
- Failure to pay subscription fees
- Extended periods of inactivity
- Upon request by law enforcement or government agencies
Effects of Termination
Upon termination of your account, for any reason:
- Your right to access and use the Platform will immediately cease
- We may delete your profile and User Content
- You will lose access to any messages, connections, or matches
- Any subscription fees paid are non-refundable, unless otherwise required by law
- All provisions of these Terms that by their nature should survive termination shall survive
8. Disclaimers and Limitations of Liability
Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, COFOUNDESY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WE MAKE NO GUARANTEES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE PLATFORM, USER CONTENT, OR ANY MATCHES MADE THROUGH THE PLATFORM.
No Endorsement of Users
We do not endorse any users or verify the accuracy of information provided by users. While we strive to maintain a high-quality community, we cannot guarantee the conduct, reliability, or suitability of any user. You are solely responsible for evaluating potential co-founders and conducting appropriate due diligence.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COFOUNDESY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM;
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM;
- ANY CONTENT OBTAINED FROM THE PLATFORM; AND
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE PLATFORM DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
Exclusions and Limitations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Cofoundesy, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:
- Your use of or access to the Platform;
- Your violation of these Terms;
- Your violation of any rights of another person or entity;
- Your User Content;
- Any agreements or relationships formed between you and other users; or
- Any claims brought by third parties arising from your actions on the Platform.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
10. Dispute Resolution
Governing Law
These Terms and any disputes arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
Informal Dispute Resolution
Before filing a claim against Cofoundesy, you agree to attempt to resolve the dispute informally by contacting us at legal@cofoundesy.com. We'll try to resolve the dispute by contacting you via email. If a dispute is not resolved within 30 days of submission, either party may proceed with a formal proceeding.
Agreement to Arbitrate
You and Cofoundesy agree to resolve any disputes through binding arbitration conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in San Francisco, California, unless you and Cofoundesy agree otherwise. The award rendered by the arbitrator may be entered in any court having jurisdiction.
Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
Class Action Waiver
YOU AND COFOUNDESY AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution section will be null and void.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by:
- Posting the updated Terms on our Platform with a new "Last Updated" date;
- Sending an email to the address associated with your account; or
- Displaying a prominent notice when you access our Platform.
Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of and agreement to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.
We encourage you to review the Terms whenever you access or use the Platform to stay informed about our legal terms and conditions.
12. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms or policies referenced herein, constitute the entire agreement between you and Cofoundesy regarding the Platform and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the intent of the original provision.
No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by our authorized representative.
Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.
Force Majeure
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, government actions, labor disputes, or other unexpected events.
Relationship of Parties
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Cofoundesy. Neither party has authority to assume or create any obligations on behalf of the other party.
